Terms and Conditions of Use for “Dentists Get Social” by NP Marketing

    NOTICE: These Terms and Conditions of Use are legally binding. It is your responsibility to read these Terms and Conditions of Use carefully prior to purchase, use or access of any of our products or services, including the “Dentists Get Social” membership.

    By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our  Privacy Policy.

    If you do not want to agree to these Terms of Use including the agreements incorporated by reference herein, you must not access or use the Website.

    This Website is offered and available to users who are 18 years of age or older. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all the foregoing eligibility requirements. If you do not meet all these requirements, you must not access or use the Website.

    “Dentists Get Social” Use and Consent

    When you purchased our Offering, you were given a reasonable notice that these Terms and Conditions of Use existed. By moving forward with your purchase of the Offering and further access of the Offering, you implicitly agreed and continue to agree to abide by these Terms and Conditions of Use as well as any disclaimers and privacy disclosures contained in these Terms and Conditions of Use.

    You agree you are at least 18 years old or of age in your applicable jurisdiction to access the Offering. Access of our Offering and related materials by a minor is a violation of use, and we reserve the right to terminate your access if such an issue is discovered.

    We have made every effort to display as accurately as possible the colors and images of our products that appear on our website. We cannot guarantee that your computer monitor’s display of any color will be accurate.

    We reserve the right, but are not obligated, to limit the sales of our Offering to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

    Products, services, information, or other material provided through the “Dentists Get Social” membership are carefully selected and a new selection is made available on a monthly basis. Not every content provided may fit your needs or expectations. Please note that when captions are provided, you may edit the suggestions provided as needed and we may not be held liable for accuracy of the content.

    Image License

    Your membership includes a single limited, non-transferable, non-exclusive, non-sublicensable, revocable license for the Offering you have paid for or opted to receive. Exceeding the scope of this license constitutes the infringement of this license and may cause NP Marketing to suffer material damages, in which case NP Marketing retains the right to seek damages and/or injunction to remedy the situation until it is made whole.

    You may:

    • Use these images for personal, commercial, or editorial purposes on your website, blog, or social media accounts in any way that is not restricted (see RESTRICTED USES below).
    • Upload images to your website, blog, or social media platforms / schedulers for your own business use.
    • Use the images in digital products including workbooks, eBooks, and other pdfs or downloads as long as the images cannot be extracted.
    • Crop, rotate, or flip the images, overlay text or your product photos, add color or filter overlays, but please do not otherwise alter, edit or manipulate the images.

    You may not:

    • You may not share your login information or transfer any images directly to a third party.
    • You may not sell, trade or give away the images as standalone files even if you have modified the design by adding text, graphics, or other design elements.
    • You may not resell the images as part of templates, themes, graphics, prints, stickers, or other printed items intended for sale.
    • You may not use NP Marketing content in any logo or trademark.
    • You may not falsely represent that you or someone else is the original creator of the images.
    • You may not use the images to promote or sell other stock photography or styling products, services, workshops, courses, or similar resources.
    • You may not use the images in an unlawful way or for any illegal or unlawful purpose.

    If you violate the Dentists Get Social Terms of Use, your membership will be terminated, and the associated license will be immediately revoked.

    You agree that we do not offer Support or Maintenance. You acknowledge and agree that we will have no obligation to provide you with any support or maintenance in connection with the Services.

    Intellectual Property

    NP Marketing or the artists supplying content retain full ownership of all the licensed content. All rights not expressly granted in this agreement are reserved by NP Marketing and the content suppliers.

    Attribution: For commercial uses you do not need to include credit however for editorial purposes you must include the following credit adjacent to the content: “website/artist name”.

    Inaccuracies on the Site

    Errors, Inaccuracies, and Omissions. Despite our best efforts, our Site may occasionally contain typographical errors, inaccuracies, or omissions that relate to product descriptions, pricing, promotions, offers, and availability. We reserve the right to correct any errors, inaccuracies or omissions and to change or update information or cancel orders if any information on the Sites is inaccurate at any time without prior notice (including after you have submitted your order).

    Accounts

    In order to use certain features of the Services, you must register for an account with us (“Your Account”) and provide certain information about yourself as prompted by the registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information. You may delete your Account at any time, for any reason, by following the instructions on the Site. We may suspend or terminate your Account in accordance with the Terms and Termination.

    Account Responsibilities. You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. You agree to immediately notify us of any unauthorized use, or suspected unauthorized use, of your Account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements. Your account should be utilized by you alone.

    Site Transactions

    In order to purchase any product or service made available through the Site, you might be asked to provide certain information relevant to your order. Such information may include your credit card number, the expiration date of your credit card, your billing address and your shipping information. YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL RIGHT TO USE ANY CREDIT CARD(S) OR OTHER PAYMENT METHOD(S) UTILIZED IN CONNECTION WITH ANY TRANSACTION. By submitting such information, you grant us the right to provide such information to third parties for purposes of facilitating the completion of orders initiated by you or on your behalf. Verification of information may be required prior to the acknowledgment or completion of any transaction.

    We reserve the right to refuse any order that you place with us. Therefore, we may prohibit orders that appear to be placed by dealers, resellers or distributors. If we refuse your order, that order will be refunded in full. We also reserve the right, in our sole discretion, to limit or cancel quantities purchased per person, per household, or per order. These restrictions can include orders placed by or under the same customer account, the same credit card, or orders that use the same billing or shipping address. If we exercise this right and make a change to or cancel an order, we will attempt to notify you by contacting the email, billing address, and/or phone number provided at the time the order was made.

    Payment Terms

    Subscription and Billing. Certain aspects of the Services may be provided for a fee, subscription or other charges. Currently, we offer subscription-based services to users. If you purchase a subscription, this subscription will automatically renew at the end of each billing cycle, typically every thirty (30) days, at which point you will automatically be charged on your anniversary date for the next billing cycle.

    If you wish to cancel your monthly subscription, it must be cancelled at least 3 days prior to expiration thereof to avoid automatic renewal. You may cancel your subscription by visiting the Billing page in the Dentists get Social platform.

    We may add new services for additional fees and charges, add or amend fees and charges for existing services, at any time in our sole discretion. Any change to our pricing or payment terms will become effective in the billing cycle following notice of such change to you as provided in this Agreement.

    Payment Information; Taxes. You are responsible for all fees, including taxes, associated with your use of the Services. You are responsible for providing us with a valid means of payment. All information that you provide in connection with a purchase or transaction or other monetary transaction interaction with the Services must be accurate, complete, and current. You must keep current payment information on file with us. You agree to pay all charges incurred by users of your credit card, debit card, or other payment method used in connection with a purchase or transaction or other monetary transaction interaction with the Services at the prices in effect when such charges are incurred.

    Payment Authorization. By agreeing to these terms, you are giving us permission to charge your on-file credit card, PayPal account, or other approved methods of payment for fees that you authorize us to satisfy.

    Chargebacks. If you have a dispute concerning any payment transaction, please contact us. If at any time you contact your bank or credit card company to reject the charge of any payable fees (“Chargeback”), this act will be considered a breach of your payment obligations, and we reserve the right to automatically terminate your use of the Services. We reserve the right to dispute any Chargeback and take all reasonable action to authorize the transaction. In the event of a Chargeback, we may terminate our Service. In order to resume use of the Services, you must re-subscribe for the Services and pay all applicable fees for the Service as well as any fees incurred by us or our payment processor as a result of the Chargeback.

    Pausing Subscriptions. Subscription services cannot be paused. Your subscription will expire after the time period specified in your subscription.

    Refunds

    We take your investment seriously, and we’d appreciate if you took our investment of time and resources into your success seriously too.

    Due to the digital nature of the images, we do not offer refunds on monthly or annual memberships. If you subscribe to a Dentists Get Social monthly membership, you can cancel at any time.  If for some reason beyond our control the Dentists get Social services cease to exist before the end of 1 year, you will be entitled to receive a prorated refund.

    Non-Disparagement

    If you are found to be slandering, libeling or otherwise disparaging our Company, Offering(s) or related materials at our discretion, You will be immediately removed from the Offering(s) and any related communications. We reserve the right to file a civil claim of action against You for any such damaging actions You take that materially harm our Company.

    Technology Disclaimer

    We make reasonable efforts to provide You with modern, reliable technology, software and platforms from which to access our Offering(s) and related material(s). However, in the event of a technological failure, You accept and acknowledge our lack of responsibility for said failure, and while we will make reasonable efforts to support you, some technological issues are far outside our control and will require you to access support from a third party provider, such as WooCommerce.

    Entire Agreement

    Before you register with our website or make any purchases therefrom, you will be asked to consent to our Privacy Policy.  If you have consented, or once you do consent, the terms of the Privacy Policy together with these Terms and Conditions, the information contained herein constitutes the entire agreement between site users and our company relating to the use of this website.

    Law and Jurisdiction

    These Terms, Conditions and Privacy Policy are governed by and construed in accordance with Canadian law. Any dispute arising out of or related to the information contained herein is subject to adjudication in the province of Quebec, Canada.

    Warranties Disclaimer

    WE MAKE NO WARRANTIES AS TO OUR PROGRAMS, PRODUCTS, SERVICES, OR PROGRAM MATERIALS. YOU AGREE THAT PROGRAMS, PRODUCTS, SERVICES, OR PROGRAM MATERIALS ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PROGRAMS, PRODUCTS, SERVICES, OR PROGRAM MATERIALS WILL BE FUNCTIONAL, UNINTERRUPTED, CORRECT, COMPLETE, APPROPRIATE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY PART OF THE WEBSITE, CONTENT ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF OUR PROGRAM, PRODUCT OR SERVICES MATERIALS OR ON THIRD-PARTY WEBSITES IN TERMS OF THEIR CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY OR OTHERWISE.
